Articles of association and partner agreements
Introduction
Drafting the documents a company runs on, so control, funding, transfers and exit are settled before they become disputes.
The articles of association are the company's public constitution; a partner or shareholder agreement is the private deal between its owners. The Companies Law gives founders wide freedom to shape both, and most later disputes trace back to what these documents did not say.
We draft for the questions that matter in practice: who appoints the managers or the board, which decisions need the partners' consent, how new funding is raised, what happens when a partner wants to sell, dies or breaches the agreement, and how deadlock is broken.
For family companies we align these documents with the family charter that Article 11 of the Companies Law allows, and for companies with outside investors with the terms of each funding round, so the articles and the agreements never contradict each other.
