Joint ventures and strategic partnerships
Introduction
Bringing partners together in a shared business or project, with clear terms on control, funding, contributions and exit.
Joint ventures are a common route into the Saudi market and into large projects, whether between a foreign company and a Saudi partner, a family group and an investor, or a private company and a government entity or fund. They can be built as a new company or as a contractual arrangement.
The joint venture agreement decides how the partnership works day to day: what each party contributes, who controls the board and management, how decisions are taken, how further funding is raised and what each partner may do outside the venture. Some joint ventures also count as economic concentrations that need competition clearance.
Partnerships end more often than partners expect. We draft deadlock mechanisms, transfer rights and exit routes at the start, so the venture can be unwound or a partner bought out without a dispute.
