Legal, IP and technical due diligence
Introduction
Finding the risks in a target before signing, across its legal file, intellectual property, technology and governance.
Due diligence is how a buyer or investor learns what it is really paying for. We review the target's corporate records, licences, material contracts, employees, real estate, litigation, compliance and zakat and tax position, and report the findings that matter rather than everything we read.
Our review reaches beyond the corporate file. We check the chain of title to trademarks, software and patents, open source use and data protection compliance, and how the target is governed: board decisions, related party dealings and the powers of its managers.
Findings are only useful if they change the deal. We turn them into price adjustments, specific indemnities, conditions to completion and actions for the first months after closing, so risks are priced before signing rather than discovered afterwards.
