Syndicated financing, facilities and guarantees

Introduction

Corporate and syndicated facilities, and the security and guarantees that support them, for borrowers and lenders.

Large financings are often shared among several banks under one syndicated facility, with an agent and a security agent acting for the group. The facility agreement, the intercreditor terms and the security package decide how the loan is drawn, monitored and enforced.

Saudi law offers a broad range of security. The Commercial Pledge Law allows movable assets, receivables, shares and intellectual property to be pledged and registered electronically, real estate can be mortgaged under the Registered Real Estate Mortgage Law, and guarantees are governed by the Civil Transactions Law.

We act for borrowers and lenders on bilateral and syndicated facilities, Islamic and conventional, on bank guarantees and parent company guarantees, and on amendments, waivers and refinancing when circumstances change.
